Greater Phoenix Deaf Senior Citizens

ARTICLE I – Name

  • The name of this non-profit association shall be Greater Phoenix Deaf Senior Citizens (GPDSC).
ARTICLE II – Objective and Purpose
  • Section 1- The objective of the association will be to serve as an advocate for deaf senior citizens by providing information and educational programs designed to enhance their physical, economic, and social well-being; and to otherwise promote the common interests of deaf senior citizens.
  • Section 2 - The association shall not engage in partisan political activity.
  • Section 3 - No part of the net earnings of the association shall accrue to the Members, Directors, or Officers except for reasonable reimbursement for expenses incurred in performance of official association duties.
ARTICLE III – Membership
  • Section 1 - Active membership shall be open to any deaf persons 50 years or older.
  • Section 2 - The associate membership shall be open to any deaf person 49 years or younger. They may participate in all activities and meetings but can't vote. The membership dues shall be $5.00 more than the active member annual dues.
ARTICLE IV – Dues
  • Section 1 - Annual dues shall be set by a motion following approval of the general membership.
  • Section 2 - Dues shall be effective yearly from January 1st to December 31st membership.
ARTICLE V – Meetings
  • Section 1 - The Board of Directors shall hold its meetings at Phoenix Deaf Community Center (PDCC) or any other designated place, subject to board of approval.
  • Section 2 - Special meetings of the Board of Directors shall be held whenever called by the President or any one (1) of the directors. Business conducted during the special meeting shall be confined to the purpose for which it is called.
  • Section 3 - Five general meetings shall be held on the 2nd Thursday of January, March, May, and September, and on the 3rd Thursday of November
  • Section 4 - Not less than five (5) members of GPDSC may request the President for a special meeting.
  • Section 5 - The election meeting shall be held in November during odd years.
ARTICLE VI – Officers / Board of Directors
  • Section 1 - The officers of the association shall consist of a President, a Vice President, a Secretary, and a Treasurer and five (5) Board Members, elected at the biennial meeting. Any officer is eligible to serve three consecutive terms of 2 years in the same office. The members of Board of Directors shall elect a chairperson who is not President.
  • Section 2 - Any five (5) Board Members in good standing shall serve in this position as voted by general membership for a term of 2 years.
ARTICLE VII – Committees
  • Section 1 - Standing committees shall be appointed by the President of the association.
  • Section 2 - Committees shall be Law, Nominating, Policymaking, Membership, Ways & Means, Resolutions, Necrology and any other ad hoc committees for any stated purpose as seen fit by the President.
ARTICLE VIII – Oath of Officers
  • Section 1 - The oath of officers shall be administered after the election in January.
  • Section 2 - The oath shall be read as follows: "I do solemnly swear upon my honor to uphold the duties of my office to the best of my knowledge and ability."
ARTICLE IX – Amendments
  • Section 1 - The bylaws may be amended at the annual general meeting in November. A two-thirds (2/3) vote of the members present will make the amendment part of the bylaws in January.
ARTICLE X – Dissolution
  • Section 1 - Upon the dissolution of the association of the Greater Phoenix Deaf Senior Citizens by two-thirds (2/3) vote of the members present, all monies shall be given to any charitable organizations serving the deaf of Arizona, to be determined by the Greater Phoenix Deaf Senior Citizens.

Guidelines, Regulations, Policy

The President shall

  1. have general supervision, guidance and control of the business and affairs of the association;
  2. preside at all meetings of the membership. He shall appoint members to serve on the standing committees;
  3. attend meetings of the Board of Directors; appoint members to serve on the standing committees.
The Vice President shall
  1. assume the powers and duties in the absence of the President;
  2. act as chairman of the Bylaws Committee.
The Secretary shall
  1. record proceedings of regular, special and election meetings;
  2. make reports to the members;
  3. keep a register of all names and addresses of all members of the association.
The Treasurer shall
  1. oversee the accounts of all monies of the association received or disbursed;
  2. oversee the disbursement of funds of the association as ordered by the Board of Directors;
  3. render to the President and the Directors, whenever required, an account of all transactions of the financial condition of the association;
  4. distribute financial reports at general and special meetings;
  5. appoint an assistant treasurer, subject to board approval;
  6. conduct a membership drive.
The Law Committee shall
  1. be responsible for keeping the bylaws and policies current;
  2. appoint from two to four members to assist in making the amendments;
  3. act on amendments referred from general meetings.
The Nominating Committee shall
  1. ask members if they are interested in running for office;
  2. notify the membership the names of prospective candidates for election;
  3. preside at the election.
The Activities Committee shall
  1. schedule events for active members;
  2. post the flyers and / information for the active members.
The Ways and Means Committee shall
  1. make a yearly budget and keep track of it;
  2. make suggestions for projected expenditures;
  3. raise funds if necessary;
  4. work with the Treasurer.
The Resolutions Committee shall
  1. have two or three members, appointed by the President;
  2. write resolutions, when needed, to announce note-worthy accomplishments of the members.
The Necrology Committee shall
  1. keep a list of members who had deceased;
  2. report to the membership at end of general meeting in May of each year.
The Membership Dues shall be
  1. $10.00 yearly per active member.
  2. $15.00 yearly per associate member.
